Standard Digital Content License (v1.1)
1. Grant of License
Upon purchase, Cybroart Holdings LLC (“Licensor”) grants you (“Licensee”) a non-exclusive, non-transferable, revocable, limited license to use the purchased digital content (“Content”) solely as expressly permitted under this License.
This License grants usage rights only and does not constitute a sale or transfer of ownership.
2. Permitted Uses
Unless otherwise stated at the time of purchase, Licensee may:
Use the Content for personal or commercial projects
Incorporate the Content into:
Marketing materials
Websites and social media
Videos and presentations
Client deliverables
Physical or digital end products
Modify, crop, recolor, composite, or adapt the Content as needed for a project
Provided that the Content is not made available as a standalone file, nor embedded or distributed in a manner that allows third-party extraction, reuse, or redistribution.
3. Prohibited Uses
Licensee may not:
Resell, sublicense, share, or distribute the Content as a standalone file or in any format that allows third parties to access or reuse the Content independently
Include the Content in asset packs, template libraries, prompt packs, stock collections, or similar repositories
Claim ownership, authorship, copyright, or exclusive rights to the Content
Use the Content to train, fine-tune, validate, or improve any artificial intelligence or machine-learning system
Use the Content in a manner that is unlawful, defamatory, deceptive, or misleading
Use the Content in connection with trademarks, logos, or identifiable individuals in a manner that implies endorsement, sponsorship, or affiliation
4. No Exclusivity
This License is non-exclusive.
Licensor may sell, license, reuse, or create similar or derivative content for other customers or projects.
No exclusivity is granted unless expressly stated in a written agreement signed by Licensor.
5. AI-Generated and AI-Assisted Content Disclosure
Some or all Content may be generated or assisted using artificial intelligence tools or workflows and may not be eligible for copyright protection under applicable law.
Licensor makes no representation or guarantee regarding copyright ownership, exclusivity, or registrability.
All rights granted to Licensee arise solely from this License.
6. Attribution
Attribution is not required unless explicitly stated at the time of purchase.
Licensee may not represent the Content as entirely human-created unless such representation is accurate and verifiable.
7. Third-Party Rights
Licensor represents that, to the best of its knowledge, the Content is not intentionally infringing on third-party copyrights.
However:
Licensor does not warrant that the Content is free from all potential intellectual property, publicity, or privacy claims
Licensee is solely responsible for determining suitability of the Content for high-risk or regulated uses, including but not limited to advertising, medical, legal, financial, or celebrity-related contexts
7.5 Game & Media IP Disclaimer
Certain Content may incorporate or be derived from third-party video games, virtual environments, or interactive media.
Such Content is licensed solely as creative, transformative artwork. No ownership or rights are granted in the underlying game assets, characters, environments, or intellectual property, which remain the property of their respective owners.
Licensee is responsible for ensuring compliance with any applicable third-party publisher or platform terms when using such Content in commercial or public-facing contexts.
8. Termination
This License automatically terminates upon any violation of its terms.
Upon termination, Licensee must immediately cease all use of the Content and delete or destroy any retained copies.
9. Limitation of Liability
To the maximum extent permitted by law:
Licensor shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to use of the Content.
Licensor’s total aggregate liability shall not exceed the amount paid by Licensee for the Content giving rise to the claim.
10. Governing Law
This License shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict-of-law principles.
11. Entire Agreement
This License constitutes the entire agreement between Licensor and Licensee regarding the Content and supersedes all prior or contemporaneous agreements, representations, or understandings, whether written or oral.
